The board of directors of China Reinsurance (Group) Corporation restructured the composition of its specialized committees on Friday, citing work requirements, according to a disclosure published by S&P Capital IQ.
The changes affected five board committees, with several appointments taking effect immediately and others contingent on directors formally assuming their roles.
On the Strategy and Sustainable Development Committee – officially renamed the Strategy and Sustainable Development Committee/Consumer Rights Protection Committee – Zhuang Qianzhi was appointed chairman, while Zhu Xiaoyun joined as a member, both effective May 29.
On the Audit Committee, Lyu Zhi was named a member and vice chairman, while He Xingda and Zhang Xueyong were also appointed as members, effective upon their formal assumption of directorial duties.
Ye Mei was appointed a member and chairlady of the Nomination and Remuneration Committee, effective May 29, while He Xingda will join as a member upon formally assuming his director post.
He Xingda was also named chairman of the Risk Management Committee, while Ye Mei was designated vice chairlady, effective May 29. Zhou Zheng and Zhang Xueyong were added as members. Zhuang Qianzhi, meanwhile, ceased serving on the committee as of May 29.
On the Related-Party Transactions Control Committee, Zhang Xueyong was named a member and chairman, while Lyu Zhi was appointed a member, both effective upon their formal assumption of directorial duties. Ye Mei stepped down as chairlady and member of the committee, effective on the date Zhang Xueyong formally assumes his duties.
The restructuring comes as the group has been active on multiple governance and financial fronts. The company revised its Articles of Association, effective January 2026, renaming the shareholders’ general meeting and updating powers and procedures for shareholder meetings and board operations. The board held 13 meetings in 2025, approving 69 resolutions and receiving 17 reports.
