FWD Group is taking a minority stake back in the Hong Kong general insurer it once owned. The price it pays will depend on how that insurer is underwriting when the deal closes.

FWD Limited, the Hong Kong-listed group's wholly owned subsidiary, agreed on October 10 to buy 25% of Bolttech Insurance (Hong Kong) from Bolttech Discovery Holdings for a base consideration of US$20.72m. The purchase covers 429,315 ordinary shares and is funded entirely from internal resources. The final figure is the base price less any closing adjustment. That adjustment is set by reference to the insurer's net asset value, solvency ratio and combined ratio at the end of the last fiscal quarter before completion, and it can only move the price downward.

That protection follows a sharp swing in the carrier's results. Bolttech Insurance (Hong Kong) reported an audited post-tax net loss of about HK$31m for 2025, with consolidated net assets of HK$336m. For the six months to 30 June 2026, it recorded an unaudited post-tax net profit of about HK$21m and net assets of HK$349m.

The business underwrites general insurance in and from Hong Kong. It traded as FWD General Insurance until bolttech acquired it in late 2020, and it was renamed in 2023. FWD and bolttech both sit within Pacific Century Group. In its exchange filing, FWD described the stake as a "non-controlling minority interest" in an established local general insurer with which it has a long-standing commercial relationship.

The commercial logic runs through health. FWD said the investment is meant to strengthen the two companies' existing group medical insurance alliance and widen their cooperation in personal general insurance, across products, distribution and customer service. Rising demand for personal accident and health cover has been a key driver of Hong Kong's general insurance growth, according to GlobalData. Provisional Insurance Authority figures also showed general business posting an underwriting turnaround in the first quarter of 2026.

FWD's influence after completion will be limited. The governance terms allow for a board of up to nine directors, and investors holding between 10% and 25% may each appoint one.

Completion needs either consent or a written notice of no objection from the Insurance Authority, relating to an individual becoming a controller under the Insurance Ordinance. The deal is also a connected transaction under Hong Kong's Listing Rules. The seller is an associate of FWD executive director and controlling shareholder Richard Li Tzar Kai, who indirectly holds 30% or more of bolttech Holdings and abstained from the board vote. The transaction must be reported and announced but is exempt from independent shareholder approval.

For brokers placing group medical or personal lines with the carrier, the underwriting entity and its policies do not change, and bolttech keeps a 75% controlling stake. The numbers that will set FWD's final price are the solvency ratio and combined ratio at the quarter-end before completion. Those are the same two measures a broker would check when weighing the carrier's security.
