AXA Group (AXA) has launched its annual employee share offering, “Shareplan,” which enables employees in and outside France to subscribe to its shares.

Shareplan 2022 will take place in 37 countries and involve over 112,000 employees who may participate in a classic offer and a “guarantee plus offer.”

AXA CEO Thomas Buberl commented: “Shareplan offers employees around the world the opportunity to invest in AXA shares at preferential conditions. This operation has been successfully carried out every year without interruption since 1993. Anchored in AXA's culture, this program meets our employees' aspiration to be closely associated with the company's strategic choices.”

Unless local law requires otherwise, individuals eligible for the offering are:

  • Employees under a valid work contract (open-ended or fixed term) with one or more of the eligible AXA entities, members of the AXA International Group Employee Stock Purchase Plan or the AXA French Group Employee Savings Plan, employees on the payroll on the first day of the reservation period and the last day of the retraction/subscription period, and employees who have on the last day of the retraction/subscription period at least three months of previous continuous or discontinuous service from January 1, 2021, to the last day of the retraction/subscription period, pursuant to Article L.3342-1 of the French Labor Code;
  • Former employees of eligible entities (retired or semi-retired from these entities) with kept assets in an Employee Stock Ownership Fund (FCPE) and/or securities in a registered account within the AXA PIAG or the AXA PEEG; and
  • General insurance agents in France who have an individual mandate with an entity that is a member of the PEEG and market the products of such entity. The agreement must have commenced for at least three months on the last day of the retraction/subscription period, pursuant to Articles L.3342-1 and D.3331-3 of the French Labor Code.

Meanwhile, entities eligible for the offering are those enrolled in the PEEG or PIAG, including the amendments thereto.

The unknown subscription price reservation period starts from August 23, 2022 (inclusive) to September 6, 2022 (inclusive). Meanwhile, the fixing period to determine the reference price begins from September 13, 2022 (inclusive) to October 10, 2022 (inclusive). However, this is subject to fixing the retraction/subscription period by the decision of AXA's CEO acting upon delegation of the board of directors, which will take place on October 11, 2022.

The retraction/subscription period is expected to take place from October 13, 2022 (inclusive) to October 17, 2022 (inclusive), subject to the decision of AXA's CEO acting upon delegation of the board of directors. Lastly, the capital release date is expected to commence on November 25, 2022.
