Guidewire has agreed to buy London-based hyperexponential (hx) for US$1.7 billion in cash, plus up to US$400 million tied to recurring revenue targets.

While billed as an AI underwriting deal, the move signals that the software and Insurtech company is stepping out of the back office, where policies are administered and claims paid, into the front office, where risks are selected and priced.

Its investor presentation describes Guidewire as the “system of record and transaction backbone” and hx as “decision infrastructure for underwriting work.” In practical terms, the acquisition would connect the systems that hold an insurer’s records with tools that help determine which business it writes.

Bringing underwriting into the core business

Guidewire says more than 570 insurers in 44 countries use its products, supported by more than 1,700 implementation projects. Buying hx would give it a larger presence in complex commercial and specialty underwriting, where hx has built a customer base among UK and London market carriers, according to the deal announcement.

The acquisition comes as Guidewire’s existing business continues to grow. It ended fiscal 2026, on July 31, with annual recurring revenue (ARR) of US$1.237 billion, up 19% in constant currency, according to its full-year results.

Guidewire already offers pricing and rating products and has previously bought businesses that bring it closer to underwriting decisions. In 2017, it acquired cyber risk analytics firm Cyence for about US$275 million, according to its SEC filing.

The base price for hx is roughly six times that amount. Its software also has a broader role, supporting underwriting work across commercial and specialty lines rather than providing analytics for a single class of risk.

From pricing models to submission handling

Hx’s own expansion helps explain what Guidewire is buying. At the time of its Series B, the company described its product as a pricing decision intelligence platform. It has since added submission triage and, in July, introduced an AI agent called hyperoperator.

According to hx’s launch announcement, hyperoperator can take a broker submission email through assessment, pricing and quoting while working within a carrier’s appetite, pricing and authority controls.

A demonstration at hx Live London showed a simple cyber submission being processed and priced within minutes. Hx said a controlled customer rollout would begin later this year, so the demonstration offers an indication of the intended workflow rather than evidence of performance across a carrier’s book.

The acquisition announcement provides limited detail on underwriting results. It cites Celent referring to an unnamed consulting firm’s findings on loss-ratio improvements, without identifying the firm or giving a precise measure of the gains.

Hx was already a Guidewire technology partner. Buying the company gives Guidewire ownership of software it could otherwise have continued to integrate through that relationship, and expands its presence in a market that includes pricing specialists such as Akur8 and Earnix.

One question for hx customers is how the acquisition will affect integrations with competing core systems. Hx is also a Duck Creek partner, with an API designed to connect to Duck Creek products. The acquisition announcement does not explain whether Guidewire ownership would change support for those customers.

Carriers will also need to understand how responsibility is divided between the software and their underwriting teams. Guidewire says its AI agents will “assess, price, and make decisions alongside underwriters and actuaries.” That leaves practical questions about which decisions require human review, what records the system keeps and how an insurer can explain or revisit an outcome.

The NAIC’s December 2023 model bulletin sets expectations for insurers’ governance of AI, including systems supplied by third-party vendors. Those expectations make oversight of underwriting tools a consideration for carriers as they assess the technology and their obligations under applicable state requirements.

What brokers will need to know

If carriers adopt tools such as hyperoperator, brokers could see more of the initial submission review handled by software. Complete, clearly presented information could help a risk move through that process, although how a system handles missing or ambiguous information will depend on the carrier’s rules and implementation.

Routine submissions could receive quicker responses as appetite checks and pricing work happen earlier. That could mean faster quotes and faster declines. Brokers will want to establish when an underwriter reviews a submission, particularly when a risk falls just outside standard appetite but has features that warrant a closer look.

Access to that underwriter will remain important. A broker needs a way to correct information, explain an unusual exposure or ask the carrier to reconsider a decision. The usefulness of automated intake will depend partly on how well carriers accommodate those conversations.

For insurers already using Guidewire, the acquisition could make hx easier to integrate and procure. Carriers and MGAs using other platforms will need clarity on continued integration support and the implications of relying on the same supplier for core systems and underwriting tools.

The deal is expected to close in Guidewire’s fiscal second quarter of 2027, which ends January 31, 2027. Guidewire plans to update its guidance on its December earnings call.
