Cover Genius, the embedded insurance infrastructure provider, has acquired Berlin-based insurtech Friendsurance. The deal gives the San Francisco company direct access to the regulatory and distribution infrastructure required to operate in the DACH bancassurance market. Financial terms were not disclosed, and neither company has stated whether Friendsurance's founders retain any ongoing equity stake or earn-out in the combined business.

The transaction, effective immediately, brings together Cover Genius' global platform with Friendsurance's bank-facing technology. Founded in Berlin in 2010, Friendsurance has spent more than 15 years building digital bancassurance tools for European banks and insurers, growing to around 100 employees and a network of more than 175 insurance company partnerships serving close to 150,000 customers. Its bank-facing brand, Friendsurance Business, has previously partnered with Deutsche Bank and cooperative insurer R+V Versicherung to embed digital insurance products into their platforms - exactly the kind of institutional banking relationship that underpins the compliance infrastructure Cover Genius is acquiring. Its architecture is built around PSD2 open banking rails and a framework to meet regional GDPR requirements, including the German adaptation known as DSGVO.

Angus McDonald, chief executive and co-founder of Cover Genius, said banks across the region faced a specific distribution problem. "Banks across the DACH region are under pressure to move beyond legacy cross-selling and deliver protection that integrates into their customers' daily financial lives," McDonald said. He said Friendsurance had spent over a decade building the bank networks and institutional compliance required to make that shift viable.

Compliance, not just technology

The DACH region, covering Germany, Austria and Switzerland, has been one of the more persistent barriers to embedded insurance rollouts in continental Europe. Distinct licensing requirements, data protection frameworks, and the DSGVO have complicated product launches for firms without established local compliance infrastructure. That is the specific gap Friendsurance's existing bank relationships and regulatory groundwork are being acquired to close - infrastructure built over 15 years of operating inside German and Austrian banking compliance regimes is not something a foreign entrant could easily replicate through a licensing partnership alone.

Tim Kunde, co-founder and chief executive of Friendsurance, said the deal was aimed at resolving that barrier directly. "Banks want to offer modern, customer-centric protection, but legacy infrastructure and compliance make it incredibly difficult," Kunde said.

For UK-based insurers and brokers with European distribution ambitions, compliance friction of this kind is a familiar obstacle. Embedded insurance can reach customers that traditional channels miss, but the regulatory complexity of each jurisdiction has slowed adoption well below its potential.

The buyer's footprint

Cover Genius operates in more than 60 countries and all 50 US states. The company has protected more than 70 million customers across 240 million policies, with US$3.2 billion in gross written sales. Its existing partners include Klarna, Revolut, Stripe, Booking.com, and Uber.

The acquisition follows a US$100 million capital raise completed on July 14, backed by Vista Credit Partners, which valued the company at US$1.9 billion. The raise was partly earmarked for strategic acquisitions, and the Friendsurance deal is the first major transaction under that mandate.

The European embedded insurance market is forecast to grow from US$3.05 billion in 2025 to US$18.29 billion by 2031, according to Mordor Intelligence. The UK holds the largest national share within Europe at 17.3%. The DACH region's banking infrastructure has made it a priority target for bancassurance deployment.

The Friendsurance team is joining Cover Genius in full. The company said existing and prospective partners would be able to access an expanded product suite through the combined platform.
