Factor Risk Management (FRM) has appointed James Wilson (pictured left) and Camila Carvalho (pictured right) to its newly formed M&A (mergers and acquisitions) and transactional risks division.

The litigation finance and after-the-event legal expenses insurance broker will see Wilson taking on the position of M&A and transactional risks head while Carvalho assumes the role of associate director.

With the duo’s arrival, FRM now has the capability to assist clients in terms of warranty & indemnity, tax, and contingent liability insurance. Wilson brings two decades of sector expertise, while Carvalho has 14 years of experience in complex international transactions.

“[Wilson] is recognised as one of the most experienced practitioners in the M&A insurance industry, having been instrumental in the early development of the key products now relied upon to manage risk in many M&A transactions,” FRM highlighted in its announcement.

“James’ 20-year career has seen him in senior roles as head of transactional insurance for a Lloyd’s of London Syndicate, and head of M&A insurance for a Lloyd’s of London broker, structuring comprehensive and tailored solutions for a raft of complex transactions.”

Carvalho, a qualified law practitioner in Brazil who speaks three languages, previously worked as a corporate lawyer prior to her switch to the cross-border M&A deals space and, subsequently, the M&A insurance industry.

“We are really delighted to welcome two professionals of the calibre of James and Camila to Factor Risk Management,” FRM director and co-founder Tom Davey when the new practice was launched.

“They strengthen FRM’s powerful mix of insurance and finance professionals servicing the needs of the disputes, mergers and acquisitions market. They are a great fit as we expand our business.”

Wilson, commenting on his appointment, had this to say: “We are incredibly proud to launch Factor Risk Management’s M&A and transactional risks offering.

“Our agile structure, subject-matter expertise, and market experience will allow clients a new option when looking for a partner to provide insurance solutions in the often fast-paced and complex M&A deal-making community.”
