Arch Insurance North America has agreed to acquire Premier Dealer Holding Corp. and its primary subsidiary, Premier Dealer Services (PDS), a Dublin, Ohio-based provider of automotive finance and insurance (F&I) products and services. The deal, announced October 30, is expected to close before year-end, subject to regulatory approvals.

PDS has operated in the automotive F&I space since 1998, building a platform that spans loyalty and protection products, dealer training programs, and technology infrastructure for franchised and independent dealerships across the US. Upon completion, it will operate as a standalone business within Arch Insurance’s consumer division, which already houses travel, accident and health, and warranty and lenders solutions lines.

Control of the platform, not the products

Independent F&I agents and brokers who work between carriers and dealerships depend on administration infrastructure to process contracts, manage compliance, and deliver dealer training. By acquiring PDS rather than continuing to distribute through it, Arch gains direct control of that layer — and the significance sits there, not in the product catalogue PDS brings.

“Bringing PDS and Arch together will strengthen our capabilities in the automotive F&I market and create new opportunities to serve our customers and partners,” said Matt Shulman, CEO of Arch Insurance North America.

PDS CEO John Topits, meanwhile, noted that dealers and agents would continue working with the same Premier team they currently know, a point that matters for relationship continuity in a distribution model built on long-standing agent ties.

The deal builds on what the two companies describe as a long-standing commercial relationship, suggesting Arch has underwritten business through PDS’s platform for some time before moving to bring it in-house.

Carriers move to own the distribution layer

The acquisition arrives as the automotive F&I space draws growing attention from brokers and carriers. The dealership finance office has become a more contested distribution point, with insurers and brokers investing to deepen their positions there. EPIC Insurance Brokers & Consultants recently built out its auto dealer group with four dedicated F&I specialists, describing the build-out as deliberate rather than routine, as the dealership F&I desk takes on greater weight in auto insurance distribution.

Digital Dealer analysis from February 2026 noted that as new vehicle margins compress, F&I has displaced front-end gross as the more consistent profit driver for franchised dealerships. Polly’s Q1 2026 Quarterly Embedded Auto Insurance Report, published by the company that sells the embedded insurance platform the data promotes, meanwhile, found that dealerships presenting insurance quotes during the purchase process saw 22% higher F&I gross, adding an average of $343 more per transaction.

Arch’s move to acquire the administration layer rather than simply distribute through it reflects the same logic playing out at the carrier level. When a carrier owns the platform, it captures more of the economics and gains data visibility across the dealer network that a distribution-only arrangement does not provide.

Arch has been expanding its North American footprint through acquisition in recent years. In August 2024, it closed its purchase of Allianz’s US MidCorp and Entertainment insurance businesses for $450 million, with nearly 500 staff making the switch to Arch in a move described as maintaining continuity for both brokers and clients.

TD Securities advised Arch financially on the PDS transaction, with Eversheds Sutherland LLP serving as legal counsel. No purchase price was disclosed.
