ANV Group Holdings Ltd. has agreed to acquire Assured Underwriting Group Limited (AUG), a London-headquartered managing general agent specializing in insurance-backed financial protection for the travel sector, from UK private equity firm Mobeus.

The deal is subject to clearance from the Financial Conduct Authority and is expected to complete in the third quarter of 2026. Financial terms of the transaction were not disclosed.

Mobeus first backed AUG in 2024, investing £8.4 million in a management buyout of the business, with a further £3 million of senior debt provided by Triple Point. Under Mobeus's ownership, AUG expanded into multiple new markets in mainland Europe, appointed a sector specialist chairman, and completed at least one bolt-on acquisition, a buy-and-build approach that has become common among private equity owners of UK specialty insurance distributors.

AUG will continue to be led by chief executive officer Richard Watson and chief operating officer Walter McCulloch, who have driven the company's organic growth and European expansion, including through bolt-on acquisitions.

A UK MGA market in consolidation mode

The deal lands amid sustained consolidation in the UK's managing general agent sector, one of the most active corners of the domestic market for private equity dealmaking.

More than 350 MGAs in the UK collectively place over 10% of the country's £47 billion general insurance premium pool, and the segment has kept expanding: membership of the Managing General Agents' Association rose by 58.5% between 2019 and 2024, reaching 233 members.

Private equity firms have been drawn to the asset-light, fee-based economics of MGAs, which require neither heavy capital outlays nor balance sheet risk, and competition for quality assets has pushed valuations higher, with deals increasingly closing at double-digit EBITDA multiples.

AUG's sale reflects that broader pattern of sponsors exiting MGA platforms to strategic or institutionally backed acquirers as earlier buy-and-build investments mature.

Regulatory reform set to widen the travel protection market

The acquisition also lands at a pivotal moment for the UK travel insolvency protection regime that underpins AUG's core book. Reforms to the Package Travel and Linked Travel Arrangements Regulations are due to take effect in April 2027, widening the scope of what counts as a "package" under UK law and pulling more bundled travel arrangements into the insolvency protection regime.

The changes represent a structural expansion of regulatory reach rather than simple clarification. As more arrangements fall within the definition of a package, businesses will need appropriate insolvency protection covering refunds and repatriation, which is expected to increase demand for bonding, insurance and trust-backed protection structures, the very products AUG underwrites.

The reform follows a government consultation that drew 113 responses from trade bodies, businesses, consumer groups and legal representatives between April and June 2025, with industry stakeholders flagging the cost and complexity created by dual regulation under both the Civil Aviation Authority's ATOL scheme and the separate Package Travel Regulations regime.
