Wawanesa has completed its acquisition of Everest Insurance Company of Canada from Everest Group, Ltd., launching the acquired business today under a new name: WSI, A Wawanesa Company.

The deal, first announced in March and cleared by regulators in September, adds a specialty commercial portfolio spanning cyber, accident and health, aviation, marine, energy, construction, directors and officers liability, professional liability, and property and casualty coverage to Wawanesa's business.

"The introduction of WSI marks an important moment in the Canadian specialty market," said Evan Johnston, president and CEO of Wawanesa, in a statement. "We saw a company with remarkable characteristics and an impressive track record. We're excited to build on that success and help WSI in creating something even greater for organizations across our country and the communities they serve."

WSI will operate as a distinct organization within the Wawanesa group rather than being folded into the parent company's existing operations, continuing the structure Johnston first outlined to Insurance Business in September, when the deal received regulatory approval.

"We're not going to integrate this business," Johnston told Insurance Business at the time. "We're going to welcome Everest into the family, but this will be run as an entirely separate line of business with a separate management team. We will look for opportunities to work better together, but there really is no integration here."

Distribution partners and clients won't see immediate changes, according to Wawanesa, with existing contacts, underwriting approaches, and service agreements remaining in place under the new brand. Renato Rodrigues, named president of WSI, said the shift gives the specialty insurer more capacity to support clients navigating increasingly complex risk.

"The risks facing Canadian organizations are continually evolving, becoming more complex and interconnected," Rodrigues said. "We're already uniquely positioned to help clients navigate uncertainty with confidence. Now, as part of Wawanesa, we're even better equipped to assist organizations unlock new opportunities as they adapt to emerging exposures."

Everest Canada had been projected to contribute approximately $305 million in annual commercial premiums to Wawanesa, an increase of roughly 30% over the insurer's existing commercial lines volume, Insurance Business previously reported. Johnston told Insurance Business in September that the acquisition reflected a broader diversification push, pointing to marine, D&O liability and aviation as lines the deal gave Wawanesa little to no prior presence in.

"We wanted to confirm our commitment to commercial business in Canada, and this was a great way to do it," Johnston said. "We were impressed with the team and look forward to welcoming them into the Wawanesa family."

Johnston also signalled in September that the Everest transaction would not be Wawanesa's last acquisition in the Canadian market. "It is not the last," he said. "We have a strong balance sheet. We are keen to grow inorganically in this country, and so we will continue to aggressively look for opportunities and deploy capital where we see the right fit."

Behind the scenes, the deal came together under tight restrictions

Speaking at a Wawanesa broker panel in Vancouver last week, James McPherson, vice president of business development for Western Canada, said the two companies were legally barred from any real collaboration until the acquisition actually closed.

"Until this deal closed, we actually couldn't collaborate in any way with Everest because we didn't own them yet and it was going through the due diligence," McPherson said. Even so, he said, both sides spent that waiting period informally sketching out what the partnership could eventually look like.

McPherson said he'd already met with Everest's business development leadership in Winnipeg ahead of the formal close, and that WSI is eager to connect with brokers across the country it hasn't previously worked with.

Brokers at the panel pressed for specifics on how the two businesses would actually interact day to day, particularly around policy structure.

Sarah Scott, Wawanesa's vice president of national programs, and Stacey Mills, vice president of mid-market, indicated the two brands will largely keep operating on separate paper rather than folding into a single combined policy, at least for now; a submission touching both a Wawanesa line and a WSI specialty like cyber or marine would still likely generate two distinct documents rather than one.

Mills noted that even within Wawanesa's own existing business, the company already issues separate policies in some cases where a specialty coverage like cyber is supported by a third party, and that reducing that kind of fragmentation for brokers has been an ongoing priority independent of the Everest deal.

Contracting arrangements with WSI are still to be determined as well, according to Scott, who said Wawanesa hasn't yet decided whether brokers will work under their existing Wawanesa agreement or need a separate one specific to WSI.

Scott closed by framing the acquisition as part of a broader shift already underway at Wawanesa. "With Everest Canada, we gain some specialty products. We gain strong talent and deep expertise in many areas that we feel will help us as well, Wawanesa, grow as well," Scott said.
