GreenShield has acquired Kii Health’s Canadian mental health services segment in a move that significantly expands its coverage and care footprint across the country and underscores how central mental health has become to the benefits and healthcare landscape.

The deal includes Kii Health’s Employee and Family Assistance Program (EFAP), Student Assistance Program (SAP), CBT Associates, Therapist Assisted Internet‑Delivered Cognitive Behavioral Therapy (TAiCBT) services, and the MindBeacon digital therapy platform. GreenShield said the acquisition would strengthen GreenShield Health’s mental health capabilities and support its growth in Western Canada and Quebec, further entrenching its position as one of the fastest‑growing mental health service providers in the country.

The transaction accelerates a broader market shift toward "payer-provider" platforms, where insurers and health organizations don't just fund care but also deliver it through owned or tightly integrated clinical and digital assets.

Meeting rising mental health demand

The announcement comes against a backdrop of rising demand for mental health support. GreenShield cited data indicating that one in three Canadians would leave their job for better benefits and two in three have faced a mental health challenge in the past year.

By combining GreenShield’s integrated coverage and care model with Kii Health’s established offerings, the organization said more Canadians would gain access to integrated, higher‑quality mental health support at work, at school and at home. For employers, schools, and public‑sector buyers, the move reflects a wider trend toward selecting fewer, more accountable partners that can knit together funding, navigation, and care delivery under one roof, rather than relying on fragmented EFAP and point‑solution providers.

“This acquisition marked an important step forward in GreenShield’s integrated coverage and care strategy,” said Zahid Salman, president and CEO of GreenShield. “It strengthened our leadership in mental health, advanced innovation in care delivery, and enhanced our ability to provide comprehensive, connected support to Canadians nationwide.”

Focus on youth mental health

As a non‑profit, GreenShield reinvests excess earnings and redeploys its service capabilities to improve health outcomes for underserved communities, with youth mental health identified as a key priority area.

The addition of Kii Health’s Student Assistance Program is expected to enhance GreenShield’s Youth Mental Health Ecosystem by deepening clinical expertise, extending reach across post‑secondary campuses, and enabling earlier intervention and more seamless navigation for students during what the organization describes as a pivotal life stage. With many Canadian institutions and sponsors prioritizing student and young adult mental health, the acquisition strengthens GreenShield’s position in a segment that is both mission‑critical and commercially important for long‑term relationships.

Integration into GreenShield+ platform

All acquired services are to be integrated into GreenShield+, the organization’s digital health and benefits platform. According to GreenShield, this integration is intended to streamline navigation across benefits, therapy and support services; create a unified GreenShield‑branded experience; and improve continuity of care for members and clients.

“By integrating Kii Health’s capabilities and practitioner network with GreenShield’s payer‑provider platform, we’re building a stronger, more connected pathway to care and meaningful health outcomes,” said Joe Blomeley, executive vice president and head of GreenShield Health.

Karen Adams, CEO of Kii Health, said the transaction would allow the acquired services to scale further. “I’m proud of what our team has built and excited to see that work continue and grow within GreenShield,” she said. “Having our EFAP and TAiCBT services join GreenShield ensures our clients, practitioners and partners are supported by a fast‑growing, innovative organization committed to expanding access and improving outcomes.”

Advancing GreenShield’s mission – and reshaping the market

GreenShield described the acquisition as another step in its “Better Health for All” mission. By extending access, strengthening mental health capabilities and deepening support for both employees and students, the organization said it aimed to deliver more connected and equitable mental health care to Canadians nationwide.

More broadly, the deal illustrates how mental health – and particularly workplace and youth mental health – is shifting from a peripheral benefit to a core strategic line of business for Canadian insurers and health organizations. Integrated models like GreenShield’s are likely to become key benchmarks for how coverage, digital tools, and clinical services are combined to meet growing demand.
